RETAILER TERMS AND CONDITIONS

Order Placement
- Order Accuracy: Retailers are responsible for ensuring the accuracy and completeness of their orders. Sole will not be held liable for any errors or omissions in submitted orders.
- Order Amendments: Once an order has been submitted, amendments cannot be made without prior approval from Sole. Amendment requests will be reviewed on a case-by-case basis.
- Stock Availability: Sole does not guarantee the availability of excess stock or merchandise for in-season top-ups. All orders are subject to supplier availability and based on retailer demand.
- Delivery Charges: Orders or top-ups valued below R5,000 will incur additional transportation charges, which will be communicated and invoiced accordingly.
- Order Cancellations: A 35% cancellation fee will be applied to any order cancelled after confirmation in writing by the retailer. This fee compensates Sole for incurred costs and losses.
Payment Terms and Discounts
- Payment Terms: Retailer accounts must be paid in full within 30 calendar days from the end of the month. Statements will be issued between the 25th and the last day of each month.
- Discount Terms: The following discounts apply to total statement amounts:
- 5% Discount: Full payment received by the first business day of the following month.
- Discount Eligibility: Accounts in arrears are not eligible for discounts.
- Late Payment Fees: Late payments will incur an administrative collection fee of R500 (excluding VAT) per overdue invoice.
- Account Suspension: Accounts with overdue balances will be suspended until full payment of arrears is received. Suspension includes withholding future orders.
- Ownership of Goods: Ownership of all goods remains with Sole until full payment is received.

Merchandise Damages, Returns, and Exchanges
- Reporting Issues: Any shortages, damages, or discrepancies must be reported to Sole Agents within 7 calendar days of receiving the order. Claims made after this period will not be honoured.
- Customer Returns: For damaged goods returned by customers, retailers must provide:
- A copy of the original sales invoice signed by the customer
- Photos of the damaged item
- A corresponding debit note
- Credit Policy: Credits will only be issued for merchandise returned within 6 months of purchase and for stock no older than two seasons (current and preceding season).
- Damaged Goods Handling: Sole Head Office will provide instructions for either the destruction or collection of damaged goods.
- Credit Note Issuance: Upon approval, credit notes will be issued and sent to retailers via email.
Overall Brand Guidelines
- Authorized Locations: Retailers may only sell ROSSIMODA products at locations pre-approved in writing by Sole. Expansion to new locations requires Sole's written consent.
- Re-Wholesaling: Re-wholesaling ROSSIMODA products to other stores, even within the same ownership group, is prohibited without written authorization.
- Social Media Standards: Retailers must maintain a social media presence aligned with ROSSIMODA's branding guidelines. Sole reserves the right to request removal of non-compliant posts.
- Confidentiality: All previewed stock and line lists are confidential. Photography is prohibited in showrooms. Breaches will result in termination of brand access.
- Counterfeit Products: The storage, display, or sale of counterfeit ROSSIMODA products is strictly prohibited. Violations will result in immediate termination of supply.
- Retailer Information: Retailers must provide complete details (website, phone number, and address) for inclusion on ROSSIMODA's official website. Send details to [email protected].
- Merchandising Standards: All ROSSIMODA products, including the RM GT900, must be displayed per brand merchandising guidelines to ensure premium in-store presentation.
- Amendments to Terms: Sole Agents reserves the right to amend these terms at the start of each season. Retailers will be notified in writing of any updates.
